Consortium Agreement

  • Usually, the work and/or individual projects of a CRC are based on a consortium or cooperation agreement.
    • decide whether the agreement shall cover the membership in the CRC or individual projects.  Under specific circumstances it might make sense to differentiate between permanent partners having signed a consortium agreement and temporary partners which are only involved in specific projects and, thus, sign a project-related cooperation agreement.
    • the agreement should define rights, benefits and obligations of the members signing it, and IPR ownership.  If needed, one can differentiate between full partners, associated partners, etc.
    • it should also contain clauses covering the entry and exit of partners
    • if international partners are welcome, the agreement should also contain regulations regarding how to deal with relationships to foreign research institutions and enterprises.
    • ensure that the consortium agreement and the contract with the funding agency are compatible.
